1. Introduction

Welcome to BM Consulting (“Company”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your use of our digital marketing, performance marketing, consulting, and related services (“Services”). By engaging with BM Consulting, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, please do not engage our services.

2. Scope of Services

BM Consulting provides B2B services including but not limited to:

• Digital marketing strategy
• Performance marketing & paid advertising
• Search engine optimization (SEO)
• Social media marketing
• Consulting & audits
• Creative services
• Marketing automation
• Analytics & reporting

The detailed scope, timelines, and deliverables will be outlined in the individual proposal, quotation, or service agreement.

3. Client Responsibilities

The client agrees to:

• Provide all required access credentials (Google Ads, Meta Ads, website, CRM, etc.)
• Share content, assets, and information needed for project execution
• Review and approve deliverables within reasonable timeframes
• Follow advertising platform rules and guidelines
• Ensure all shared information is accurate and lawful

BM Consulting is not responsible for delays caused by lack of communication, missing assets, or client inaction.

4. Fees & Payment Terms

• All fees are defined in the proposal, service agreement, or invoice.
• Payments must be made in advance unless mutually agreed otherwise.
• For ongoing retainers, payment is due at the start of each billing cycle.
• Late payments may result in project delays or service suspension.
• Advertising budgets, tool subscriptions, and third-party costs are billed separately.

BM Consulting reserves the right to adjust pricing for future service periods with prior notice.

5. Refunds & Cancellations

All refunds and cancellations follow our Return & Refund Policy. Key points:

• 14-day satisfaction guarantee from project start date.
• Refund eligibility depends on cooperation and justified reasons.
• Ad spend, tool costs, completed deliverables, and third-party fees are non-refundable.
• Partial refunds may apply if cancellation occurs within the first 14 days.

6. Project Timelines

Project timelines will be mutually agreed upon but may be affected by:

• Client delays in providing required inputs
• Scope changes
• Platform approvals or external dependencies

BM Consulting is not liable for delays outside of our control.

7. Intellectual Property

Client Materials: All materials provided by the client remain their property.

BM Consulting Deliverables: Upon full payment, custom deliverables become the client’s property. Proprietary tools, frameworks, and methodologies remain the intellectual property of BM Consulting.

8. Advertising Platforms & Compliance

BM Consulting follows industry best practices but does not guarantee:

• Specific results or performance outcomes
• Approval of ads by advertising platforms
• Platform stability or policy changes

Clients are responsible for ensuring compliance with relevant laws and platform policies.

9. Confidentiality

Both parties agree to keep all shared information, access credentials, and business details confidential unless required by law or agreed upon in writing. Confidentiality obligations remain in effect even after service termination.

10. Limitation of Liability

To the maximum extent permitted by law, BM Consulting is not liable for indirect, incidental, or consequential damages. Our liability is limited to the fees paid by the client in the preceding 30 days for the service in question.

Marketing outcomes cannot be guaranteed due to external factors outside our control (market conditions, competition, platform algorithms, etc.).

11. Termination

Either party may terminate services with written notice. Conditions include:

• All outstanding payments must be settled.
• No refunds for completed work or non-refundable items.
• Immediate termination may occur in cases of misuse, unlawful activity, or abuse.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be resolved exclusively in the courts of Pune, Maharashtra.

13. Modifications to Terms

BM Consulting may update or modify these Terms at any time. Continued use of our services constitutes acceptance of updated Terms.
